Get ready for changes to UK company law

Feb 19, 2024

The Economic Crime and Corporate Transparency Act became law in October 2023. Since then, Companies House has been getting ready to introduce the measures brought in by the act and they are aiming to introduce the first set of changes on 4 March 2024.

What these early changes mean for you

This blog post will provide you with the information you require to make sure you’re ready for the changes so that you can take action at the right time. Anyone thinking about incorporating a company should also keep in mind these developments.

To help you prepare, the main changes are regarding:

  • new rules for registered office addresses.
  • requirement for all companies to supply a registered email address.
  • new lawful purpose statements.

In practical terms this means the following:

  • Newly Established Companies

Starting from March 4th, newly incorporated companies will be required to provide a registered email address to Companies House.

  • Existing Limited Companies and LLPs

As of March 4th, existing limited companies and LLPs must provide a registered email address and other required information in their first confirmation statement.

  • Confirmation Statement Filing by Whitley Stimpson

For clients who typically rely on us for confirmation statement filing, we will manage this process and use the email address cosec@whitleystimpson.co.uk, which will be monitored by our team.

  • Clients Handling Own Companies House Filings

Clients who handle their own Companies House filings will be prompted to provide the necessary information during their first confirmation statement after March 4th.

If you’re not a client of Whitley Stimpson, we recommend that you contact your accountant to find out if you are required to take any action.

Further details of the changes coming into effect from the 4th of March can be found in this GOV.UK blog post.
